SERVICE AGREEMENT HOLD ALL MAIL AND SKYBOX SERVICES, CORP. GENERAL SERVICE AND OBLIGATIONS.

1-GENERAL SERVICES: This agreement is between SKYBOX SERVICES, CORP. (Hereinafter also "SKYBOX" or "Service Hold All Mail") and You. (Hereinafter also "Client"). SKYBOX will provide Client a postal address with a suite number, called SKYBOX number, that from that moment will be for his exclusive use, in the city of Miami, Florida State, U.S.A. the place of validity of this agreement.


SKYBOX will provide this service for a period of one year (as per the conditions of this agreement) from the moment of the registration and it will renew automatically each year if SKYBOX receives the payment of the annual dues (as indicated below) and if either of the parties do not specify to the contrary, in the thirty (30) days prior to the anniversary of the registration. If SKYBOX does not receive such annual dues, SKYBOX will have the right to cancel Client's registration without prior notification and destroy the contents of the box. 


The SKYBOX service will receive the mail sent to your postal address (Exclusively documents and magazine subscriptions) and hold it for up to one year until the documents and/or magazines accumulate to a volume larger than 12*12*6 inches (31*31*16 centimeters) whichever happens first, at which time SKYBOX will contact you using the contact information provided by Customer, so that he, within thirty (30) days of the contact date, decides what he wants us to do with his mail, for which we offer three options:

a) Agree in WRITING to a date, within the following thirty (30) days, so that you or a person duly authorized by you, comes with proper identification to our offices in Miami to pick up the mail from your SKYBOX. We require at least two (2) days prior notification.

b) That you provide us in WRITING an authorization, to send your mail to any part of the world at the moment you request it and to allow us to charge your account the expenses associated with the shipment. Four (4) days prior notification is required for shipments within the continental United States and ten (10) days for shipments outside the continental United States.

c) That you provide us in WRITING an authorization to proceed to destroy the mail accumulated up to that time in your SKYBOX.

d) If during the (30) thirty days period mentioned above, SKYBOX is not able to communicate with the Client to notify him or if at the end of the thirty (30) days SKYBOX does not receive notification from the Client, SKYBOX will have the absolute right to dispose of the mail in whatever way it determines.

If a package is received, the client should tell SkyBox in advance, and specify what does she/he wants to do with it. The package should not exceed the size of 20x20x20 inches. The client has a month to pick it up at the cost of US$15 or indicate where shall it be send, in wich case has to provide SkyBox with the original invoice of it.


2-REGISTRATION: Client can register directly On-Line at the internet site: www.holdallmail.com completing all the specified fields, or printing the form found there, completing it and sending it to Fax (305) 593-0172. The Client can include up to three persons or corporations authorized to receive and also to define what SKYBOX will do with your documents by their own decision, at the end of the contract or in case the maximum volume limits defined by SKYBOX are reached.


3-PAYMENT AND CHARGES: The Client will pay SKYBOX the amount of US$220.00, non-refundable, per year of membership for the maintaining the postal address. Please note that once the amount is paid for the membership, such amount(s) are not refundable for any reason. This amount must be paid at the time you open your SKYBOX and annually prior to obtaining the service and in each successive annual period as long as the agreement is in force. This money is not reimbursable. The payment form is as follows:

  • Credit Card: Write down on the opening form the information about your credit card, such as type, the name as it appears on your card, the number and the expiration date. Once the information is in our system you will be charged for the services that are provided to you.

  • It is required that the payment be received at least a week prior to the beginning of the service. In case of a Client that already has established service a note should be included indicating the suite number or SKYBOX. 

The document destruction service is optional. Because of confidentiality the documents go through a process of total disintegration to protect the identity and security of our clients. There is no charge for this service and the Client should advise us at the opening of his account or later, through the use of the appropriate form, when he wants his documentation to be destroyed.


Additionally the Client must pay for all the shipments he requests, in accordance to the destination, that will be:

  • Deliveries in Miami (Miami-Dade County): The amount to be paid is US$15.00, regardless of the weight.
  • Deliveries within the United States (Outside of Miami-Dade County): US$22.00 for the first pound and US$ 5.00 for each additional pound.
  • Deliveries in the capitals of Central and South America: US$13 for the first pound and US$5 for each additional pound.
  • Deliveries in Central and South America (Other than in the capitals): US$17.00 for the first pound and US$5.00 for each additional pound.
  • Deliveries in countries other than those mentioned before: US$35.00 for the first pound and US$5.00 for each additional pound. 

In case that SKYBOX is not able to obtain membership payment fee on time in the anniversary month in which the account was open, either because the charge to the credit card is declined or because the wire transfer or the check is not received, , the Client will have thirty (30) days to solve this problem. After thirty (30) days SKYBOX will cancel the Service Hold All Mail and any mail received in our installations of Miami, Florida, will be discarded or returned to the sender.


4-DOCUMENTATION OF CHARGES AND COSTS: SKYBOX will make available to the Clients the back up documentation corresponding to the charges to your credit card account for reason of membership and shipments.


5- PERMIT AND AUTHORIZATION: Client grants SKYBOX permission and authority, without prejudice to SKYBOX, to accept in the mail the documents addressed to the Client. The Client accepts that SKYBOX will not be responsible for any claim against SKYBOX for the handling and or holding of the mail unless SKYBOX has acted with fraudulent conduct, and/or has acted with serious negligence or omission. SKYBOX will not be obliged, under any circumstance, to open, examine or read the contains of any mail received or to notify the Client of the details of the mail received. 


The Client recognizes and accepts that all mail held for more than one (1) year or that surpasses the maximum volume limitation indicated above will be discarded by SKYBOX at its only and complete discretion as is indicated in this agreement. 


The Client recognizes that some mail could come with the warning that the included documents are time sensitive subject to time periods determined by law or other reason and that such periods could run from the time that such mail arrives at your postal address at SkyBox's warehouse (Time Sensitive Mail). SKYBOX will not be responsible for any claim due the non-delivery of such Time Sensitive Mail within the period prescribed for such mail. 


SKYBOX will accept mail, other that envelopes and magazines, as long as they are maintained in our warehouses for no more than a maximum period of thirty (30) days. All mail received in the form of merchandise or packages will be subject to the volume procedure and the Client will be contacted immediately for its shipment or destruction as per what is indicated in paragraph 1 above.


6-SKYBOX'S LIMITATION: SKYBOX offers coverage, without any cost, for the loss or damage to the documents warehoused and under the control and custody of SKYBOX, for a maximum of US$100.00 (or its equivalent in the local currency of the domicile country of the Client). This responsibility of SKYBOX is limited to the warehousing of the mail in Miami, Florida. In no case will SKYBOX be responsible for damages exceeding the amount previously indicated. 


The Client will indemnify and will hold SKYBOX harmless, in case of a disaster, loss or claim (including any claim by any governmental agency) for damages, compliance or non-compliance, with any or all of the obligations of this agreement in such a way that it leaves SKYBOX totally harmless. The above as long as the event that brings about the claim(s) is not caused by force majeure or act of God.


7- TERM: Unless this Agreement terminates early in conformity with what is stipulated in the following clause, this agreement has a validity of one (1) year from its registration date, it will renew automatically at its termination, unless the Client advises SKYBOX in writing (or electronically) of his desire to not renew it, at least with thirty (30) days of notification prior to the termination of the year covered by the paid membership.


8- TERMINATION: This agreement could be terminated by any of the parties at any time, with or without just cause with prior written notice (or electronically) of thirty (30) days, without obligation to SKYBOX to refund any amount of money.


9- JURISDICTION: The Agreement will be governed and regulated by the laws of the Miami-Dade County and the State of Florida, United States of America. The parties to this Agreement agree that any conflict will be resolved in the appropriate courts of the Miami-Dade County, Florida, U.S.A.


10- NOTICE: Requests for cancellation and or claims, payments, destruction of documents and other requests should be send to the SKYBOX address indicated below:

11- MISCELLANEOUS: The use of the SKYBOX product constitutes and acceptance of the conditions of the agreement without need of other action. These conditions in this agreement automatically replace any agreement and or conditions previously established by SKYBOX. SKYBOX reserves the right to change the conditions of this agreement in a unilateral manner by simply placing it on the web page.
